P. Clarkson Collins, Jr. is a member of the firm's Corporate and Fiduciary Litigation and Business Litigation practice groups where he concentrates his practice on the representation of clients in complex civil matters before both jury and nonjury tribunals. Mr. Collins represents boards of directors and other corporate and business entity constituencies in actions involving governance, control contests and claims for indemnification and advancement. In the area of commercial litigation, Mr. Collins has represented businesses, financial institutions and professionals in a wide variety of business tort, fiduciary and contract actions including lender liability, trade secret, antitrust and unfair competition, and professional malpractice claims. A few of the reported cases in which Mr. Collins has represented parties include: Nixon v. Blackwell, Del. Supr., 626 A.2d 1366 (1993) (defense of stockholder oppression claims); Citadel Holding Corporation v. Roven, Del. Supr., 603 A.2d 818 (1992) (prosecution of director advancement claim); Nottingham Partners v. Trans-Lux Corporation, Del. Supr., 564 A.2d 1089 (1989) (defense of shareholder class action); Paramount Communications, Inc. v. Time, Inc., Del. Supr., 571 A.2d 1140 (1989) (representation of major shareholder group in control contest); Buena Vista v. Wilmington Trust Company, Del. Super., C.A. No. 87-12-043, LEXIS 433 (1994) (defense of lender liability claims); In re Century Glove, Inc., C.A. No. 90-401-SLR (D. Del., 1993) LEXIS 2286 and related cases (representation of debtor in Chapter 11 reorganization and related adversary proceedings).
Mr. Collins was born in Pittsburgh, Pennsylvania, and admitted to the Delaware State Bar in 1976. He received a B.A. in 1971 from the University of Virginia, and his J.D. in 1975 from Dickinson School of Law, where he was a member of the Board of Editors, Dickinson Law Review (1974-75). Mr. Collins is a member of the Delaware State and American Bar Associations, and has served as Co-Chair of the Professional Ethics Committee (1991-95), a member of the New Castle County Ethics Commission, a member of the Council of the Corporation Law Section of the Delaware State Bar Association, Assistant Secretary (1987-88) and Secretary (1989-90) of the Delaware Board of Bar Examiners, and as a Deputy Attorney General (1975-1978).
