Michael A. Weidinger is a member of the firm's Corporate and Fiduciary Litigation Practice. He focuses his litigation practice in the areas of complex corporate, commercial, business, and fiduciary disputes. He also is also engaged in transactional work that focuses on complex transactions including contract drafting and negotiation.
Mr. Weidinger has represented parties in cases alleging breaches of fiduciary duty. He has also litigated through trial a number of appraisal cases under Section 262 of the Delaware General Corporation Law in connection with the mergers of Delaware corporations. He has substantial experience dealing with financial experts both in presentation of damages and valuation evidence and in the deposition and trial cross-examination of financial experts hired by opposing counsel. Thus, his work has included presentation of expert testimony regarding contract and financial damages while working with some of the nation's premier financial experts, including the former Chief Economist for the United States Securities and Exchange Commission. Representative cases include: Union Illinois 1995 Investment LP v. Union Financial Group, Ltd., C.A. No. 19586 (Delaware appraisal); Borusso v. Communications Telesystems Int'l, C.A. No. 16316 (Delaware appraisal); Emerald Partners v. Berlin, C.A. No. 9700 (Delaware breach of fiduciary duty claims); Gotham Partners L.P. v. Hallwood Realty Partners, L.P., C.A. No. 15754 (Delaware limited partnership breach of contract and breach of fiduciary duty claims); E.I. duPont de Nemours and Company v. Unifi, Inc. (Washington DC arbitration regarding breach of contract involving a manufacturing alliance); E.I. duPont de Nemours and Company v. Rhodia, (arbitration regarding breach of contract arising from failed joint venture in China).
Mr. Weidinger received his J.D. degree, with high honors, from George Washington University Law School in 1994. There, he was a member of the Order of the Coif, the George Washington Law Review, and Moot Court Board. He has written and assisted in the writing of articles published in the areas of intellectual property, contracts, the Delaware General Corporation Law, and appellate practice. He received his undergraduate degree, cum laude, from Miami University, Oxford, Ohio.
Before attending law school, Mr. Weidinger was Vice President of Kendall Mortgage Corporation where he was responsible for negotiating and financing multi-million dollar commercial real estate projects.
