Michael M. Ledyard is primarily involved in two practice areas at Morris James: Corporations and Other Business Organizations and Financial Institutions and Commercial Transactions. Mr. Ledyard concentrates his practice on the use of limited liability companies, statutory trusts, partnerships and other entities in complex financing transactions, such as asset securitizations, leveraged leases, like-kind exchanges and other business ventures. His practice includes acting as Delaware counsel to borrowers, lenders, lessees, trustees and other parties in both domestic and international transactions and rendering third-party legal opinions as to matters of Delaware and federal law, including federal bankruptcy law.
Mr. Ledyard is a member of the Delaware Statutory Trust Act drafting committee. In addition, he was one of the principal drafters of the Delaware Limited Liability Company Act and has served as a member of each of the committees responsible for drafting amendments to the Delaware Limited Liability Company Act, the Delaware Revised Uniform Limited Partnership Act and the Delaware Uniform Partnership Law. Mr. Ledyard has been a regular speaker at seminars in the United States and abroad and an author of articles concerning such statutes.
Mr. Ledyard is a member of the Board of Trustees of the Pennsylvania Hunt Cup Committee (for which he also acts as Chief Counsel); Vice Chairman of the Board of Supervisors of West Marlborough Township, Chester County, Pennsylvania; a member of the Board of Governors of the Wilmington Club; a former trustee of the Wilmington Library Foundation and Upland Country Day School and a former trustee and executive officer of the Brandywine Conservancy, Inc.
Mr. Ledyard was born in New York City in 1948 and was admitted to the Delaware Bar in 1982. He received his B.A. degree from the University of Hawaii in 1970 and his law degree, cum laude, from the Delaware Law School in 1982. He was a member, 1980-81, and associate editor, 1981, of the Delaware Journal of Corporate Law. He is a member of the American Bar Association Section of Business Law and the Delaware State Bar Association Corporate and Commercial Law Sections.
