Corporate and Fiduciary Litigation

Morris James devotes a major portion of its litigation practice to disputes involving corporate law and fiduciary matters. These include corporate disputes and disputes involving partnerships, trusts and other entities in which fiduciary duty constitutes an integral part of the parties' relationship. The group's attorneys also have served as counsel for independent board committees assigned to negotiate transactions in which certain members of the board of directors may not be disinterested. This representation has included board committees of General Motors, Texaco and other major corporations.

Morris James attorneys have significant experience in expedited proceedings in the Delaware Court of Chancery to determine, among other things: whether a proposed transaction should be enjoined based on breach of fiduciary duty or violation of disclosure obligations; who are rightfully the officers and directors of Delaware corporations; whether and when an annual meeting must be held; and whether a stockholder or limited partner is entitled to obtain the books and records of a Delaware corporation or limited partnership, including the stock or limited partner list.
