Bankruptcy and Reorganization

Bankruptcy and Reorganization Group represents creditors, creditors' committees, purchasers, investors and other parties in interest before the United States Bankruptcy Court for the District of Delaware, the United States District Court for the District of Delaware and the United States Court of Appeals for the Third Circuit as well as other federal courts. We have counseled clients in both reorganization and liquidation cases as well as in out-of-court workouts and debt restructurings.

We are well-equipped to handle the sophisticated and complicated bankruptcy and insolvency issues of our wide array of national and local clients while still being able to render personalized service.

Our collective experience, legal acumen and business sense enable us to provide our clients with sound and practical advice while representing their interests aggressively, creatively and efficiently. In this way, we are zealous advocates for our clients' legal interests while always keeping in mind the need to achieve their business objectives.

Creditors. Our representation of individual creditors has included indenture trustees, lenders, mortgagees, equipment lessors, landlords, construction lien-holders, insurance carriers, professionals, vendors, and other secured and unsecured creditors in all manner of issues that arise in bankruptcy proceedings.

Other Interested Parties. In addition to creditors, we routinely represent other interested parties in bankruptcy cases including, for example, purchasers of or bidders on debtors' assets.

Preference and Fraudulent Conveyance Defendants. We have represented many hundreds of preference and fraudulent conveyance defendants and have been instrumental in developing aggressive defenses to such actions.

Creditors' Committees and Trustees. We have represented Creditors' Committees in the West Star Cinema, Gardenway, Inc. and Crown Symplimatic, Inc. Chapter 11 cases. Currently we are co-counsel for the Chapter 11 Trustee in the United States Minerals Products Company case and co-counsel for the Debtors-in-possession for the Chapter 11 bankruptcy matter of In Re: World Health Alternatives, Inc.. Such representations often entail an important investigative function, as the Committee or Trustee may undertake to ferret out and pursue legal claims that the debtor and its professionals lack an interest in pursuing.

Local Counsel. In addition to our direct representation of clients, we also have an extensive practice serving as local counsel for out-of-state lawyers. We view our role as local counsel as a substantive one, bringing value to the client through our experience with the Delaware courts and our contacts with the bankruptcy attorneys here. Attorneys who routinely retain Morris James as local counsel have come to expect us to take an active role in their cases.

Debtors and Liquidating Agents and Trusts. We have counseled debtors in pre-bankruptcy workouts and debt restructurings and also through the bankruptcy process. In addition, we have represented debtors and liquidation agents and trusts through post-confirmation liquidation proceedings in cases before the Bankruptcy Court.

We are involved in bankruptcy and reorganization proceedings on a daily basis and are intimately familiar with the specific practices and procedures of bankruptcy practice in Delaware. We also bring our experience in corporate and commercial litigation, and business transactions to bear in each case.
