Damon B. Ferrara

Overview

Damon Ferrara is an attorney in the Corporate and Commercial Litigation Group. He focuses his practice on corporate and complex commercial litigation for business entities formed under Delaware law.

Before earning his law degree, Damon served as an Army Infantry Officer with the 101st Airborne Division and deployed to Afghanistan in Operation Enduring Freedom. During law school, Damon had legal externships in the United States House of Representatives Committee on Homeland Security and in the office of the Acting Chairman of the Federal Trade Commission under the Honorable Maureen K. Ohlhausen. He also served as a legal intern for Taiwan’s largest law firm and for an international bank in Hong Kong. He speaks Mandarin Chinese fluently.

  • Mergers, acquisitions, and other business transactions in which controlling shareholders, directors, or officers are alleged to have conflicts of interest

  • Representation of managers, members, and other stakeholders of Delaware limited liability companies in business disputes

  • Indemnification and advancement actions, including actions representing directors and officers involving white collar criminal allegations

  • Complex commercial actions involving breach of contract and various business torts, including fraud and misrepresentation

  • Inspection of books and records of Delaware corporations and limited liability companies

  • Advising independent managers and directors with regard to assessing bankruptcy, distressed finance, and related actions

  • Investigation of claims and potential causes of action on behalf of or against bankruptcy estates
