Sarah focuses her practice within the firm’s Corporate and Commercial Litigation group.

Her practice includes litigating corporate and commercial matters in the Delaware Court of Chancery and the Complex Commercial Litigation Docket of the Delaware Superior Court. Sarah also has extensive experience in the Delaware District Court in matters involving contract or business tort litigation, and the Delaware Bankruptcy Court in matters involving business restructuring and insolvency.

Sarah is experienced with fiduciary duty claims, contract disputes, and summary proceedings under Delaware’s business statutes and routinely represents parties in disputes over the ownership, control, and management of Delaware business entities, including corporations, partnerships, and limited liability companies. Aside from litigation, Sarah counsels companies, directors, officers, and managers in connection with transactions that involve litigation risk.

Prior to joining Morris James, Sarah worked as an associate for seven years in Wilmington handling corporate and commercial litigation and bankruptcy matters where she gained significant experience in various courts in Delaware.

  • Actions for advancement or indemnification of attorneys’ fees and expenses
  • Fiduciary actions arising out of alleged mismanagement, self-dealing, usurped corporate opportunities, failure of oversight, bad faith, or aiding and abetting
  • Breach of contract actions involving LLC agreements, partnership agreements, stock preferences, asset purchase agreements, restrictive covenants, transfer restrictions, etc.
  • Advising matters regarding D & O insurance coverage claims
  • Advising and defending restrictive and non-compete covenants
  • Dissolution actions and actions for the appointment of a custodian or receiver
  • Advising and representing managers and members of Delaware limited liability companies regarding disputes and dissolution
  • Advising members of management, special committees, and investors in connection with strategic transactions
  • Counseling current and former directors, officers, and advisors of debtors relating to fiduciary duties
  • Commercial disputes in arbitration (AAA, JAMS)
  • Actions to compel arbitration to confirm, vacate, or modify arbitration awards
  • Counseling official committees of unsecured creditors and equity committees
