Nicholas J. Caggiano, Jr. is a Partner in the Morris James’ finance practice, a group that handles transactions for a wide range of clients, small and large.

In his practice, Nick helps clients to utilize Delaware corporations, limited liability companies, statutory trusts and other alternative entities in a variety of situations, from small business start-ups to complex commercial transactions. He can assist clients with forming and dissolving entities, structuring transactions, drafting and negotiating contracts, and providing Delaware legal opinions to support their closings.

  • Regularly provides Delaware legal opinion letters to support a variety of business transactions, including opinions concerning Authority To File Bankruptcy for Special Purpose Entities; foreign guaranties; enforceability of foreign money judgments; choice of law and forum; UCC perfection by filing; enforceability of contracts, as well as corporate/alternative entity status, power and authority options
  • Serves as transaction counsel to a Custodian appointed by the Delaware Chancery Court to sell a deadlocked Delaware corporation under Section 226 of the Delaware General Corporation Law
  • Counsels a variety of clients on compliance with the Delaware entity laws regarding corporations and “alternative entities” such as limited liability companies, statutory trusts, and partnerships
  • Represents financial institutions serving as corporate trustee or agent (such as collateral agent and paying agent) in deals involving securitization, leveraged lease, EETC, collateral trust, escrow, and custody arrangements
  • Negotiates and drafts contracts and other legal documents for clients in the energy sector, including solar, wind, and other renewable power projects
  • Represents buyers and sellers of assets and stock of Delaware entities
  • Assists clients with the formation of "Bankruptcy-Remote" Delaware Special Purpose Entities and rendered legal opinions concerning such entities' status and authority to file and other matters of Delaware and federal bankruptcy law to support secured lease and debt financings and other capital market transactions
  • Provides strategic support in litigation and settlement of matters involving complex commercial disputes
