Shannon renders legal advice to and offers third-party legal opinions in respect of, Delaware statutory trusts, common law trusts, limited liability companies (including special purpose entities), series entities, partnerships, and corporations in the areas of formation, operation, and governance.
Health Care Law - As the senior member of the firm’s Medical Malpractice Practice Group, Richard Galperin has devoted almost the entirety of his career to medical malpractice and medical negligence cases. Over the course of more than four decades as a practicing trial lawyer, Rich has tried more than 130 cases to jury verdict, almost all of them multi-day medical negligence cases. Rich is one of the most experienced medical malpractice attorneys practicing in Delaware.
Litigation - Mergers and Acquisitions - Lewis Lazarus focuses his practice on corporate governance and commercial matters in the Delaware Court of Chancery. He has been lead counsel in trials arising out of mergers and acquisitions, including cases involving the entire fairness standard of review, appraisal, books and records actions, actions to compel annual meetings, and actions to determine who rightfully are the managers of a Delaware entity. As a result of his knowledge and familiarity with these and related cases, Lewis often advises special committees and boards in conflict-of-interest transactions.
Litigation - Real Estate - John Newcomer chairs the firm's real estate practice. He practices in the areas of real estate and commercial litigation. His experience in these dual fields provides his clients with a rare perspective in dealing with complex real estate and business matters. Understanding the dynamics of litigation, and how it impacts his clients’ business strategies, gives John the ability to draft transactional documents with an eye toward avoiding problems before they arise.
