Lewis Lazarus moderated and organized the seminar sponsored by the Corporation Council of the Delaware State Bar Association’s Corporate Law Section concerning Recent Developments in Delaware Corporate Law: Transactional and Litigation Perspectives.
Lewis participated as a moderator and panelist on the litigation panel entitled: Conflicts in Transactions: A Litigation Perspective. That panel addressed recent cases concerning conflicts involving a majority shareholder, officer and director conflicts and advisor conflicts. The panel also discussed recent cases concerning the authority of boards to adopt by-laws providing for an exclusive forum for litigation involving the internal affairs of an entity and for fee-shifting in litigation involving the internal affairs of a corporation.
